Terms of Service
Last updated: 1 March 2025. These terms govern your use of the Deskpadi platform and all associated services.
1. Acceptance of Terms
By registering for, accessing, or using the Deskpadi platform ("the Platform"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations.
If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree, you must not use the Platform.
These Terms constitute a legally binding agreement between you (or your organisation) and Quantumica Ltd ("Deskpadi", "we", "us", or "our"), a company registered in Nigeria.
2. The Service
Deskpadi provides a cloud-based operations management platform that includes modules for property management, asset management, purchase requests, finance and disbursement, HR management, leave management, maintenance tracking, site plans, and task management ("the Service").
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
The Platform is provided on a subscription basis. Specific features available to you depend on the subscription tier your organisation has selected.
3. Accounts and Registration
To use the Platform, a company administrator must register a company account. Each company account is a separate tenant with isolated data.

You are responsible for maintaining the confidentiality of your account credentials and must notify us immediately of any unauthorised access.

You may not share credentials or allow others to access the Platform using your credentials. One account may not represent multiple unrelated legal entities.
4. Acceptable Use
You agree to use the Platform only for lawful business purposes. You must not:
- closeUse the Platform in any way that violates applicable laws, including the NDPR
- closeAttempt to gain unauthorised access to other users' accounts
- closeUpload or transmit viruses, malware, or any other malicious code
- closeUse automated tools to scrape or extract data without written consent
- closeReverse engineer, decompile, or disassemble any part of the Platform
- closeResell or sublicense access without written consent
- closeConduct load testing or penetration testing without prior written approval
5. Subscription Plans and Billing
Deskpadi is offered on a tiered subscription model. Pricing and plan details are available on our Pricing page.
- check_circleFree plan: Available with no time limit. Features and users are limited per the free tier specification.
- check_circlePaid plans: Billed monthly per active user. Payment is due at the start of each billing cycle.
- check_circleUpgrades take effect immediately. The prorated difference is added to your next invoice.
- check_circleDowngrades take effect at the next billing cycle.
- check_circleFailed payments: Account restricted to read-only after 7-day retry period.
All prices are in Nigerian Naira (NGN). We reserve the right to change pricing with 30 days' notice. Payments are processed by Paystack.
6. Data and Privacy
Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference.
You retain all ownership rights to the data you upload or create in the Platform ("Customer Data"). Deskpadi acts as a data processor for Customer Data, processing it solely to provide the Service.
You are responsible for ensuring that you have the right to upload Customer Data and that doing so complies with applicable laws, including NDPR.
7. Intellectual Property
Deskpadi retains all intellectual property rights in the Platform, including but not limited to the software, designs, trademarks, and documentation. Nothing in these Terms grants you any rights to use Deskpadi's intellectual property beyond what is necessary to use the Service.
Your Content: You retain all your rights to any content you submit. You grant Deskpadi a limited licence to process and store your Customer Data solely for the purpose of providing the Service.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service that is marked as confidential or would reasonably be understood to be confidential.
This obligation does not apply to information that: (a) was publicly known at the time of disclosure; (b) becomes publicly known without breach; (c) was independently developed; or (d) must be disclosed by law.
9. Limitation of Liability
"To the maximum extent permitted by applicable law, Deskpadi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data loss, business interruption, or loss of goodwill."
Deskpadi's total aggregate liability shall not exceed the total fees paid by you in the 12 months preceding the claim, or ₦50,000 (fifty thousand Naira), whichever is greater.
Some jurisdictions do not allow limitations on implied warranties or liability, so some of the above limitations may not apply to you.
10. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses. We do not warrant that defects will be corrected.
11. Termination
Either party may terminate this agreement at any time. We may terminate or suspend access immediately if you breach these Terms. Upon termination:
- check_circleYour access to the Platform will cease immediately.
- check_circleCustomer Data will be retained for 90 days to allow data export, then permanently deleted.
- check_circleAny outstanding fees become immediately due.
- check_circleSections relating to intellectual property, liability, and dispute resolution will survive termination.
12. Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nigeria.
Before initiating legal proceedings, both parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of 30 days.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to company administrators via email and in-platform notice at least 14 days before they take effect.
Continued use of the Platform after the effective date of changes constitutes your acceptance of the updated Terms.
